Who is the Company's registrar?
Our registrar is Capita Registrars. They maintain the Company's register of members (names and addresses of shareholders and the number of shares held), as well as issuing dividend payments and share certificates on behalf of the Company.

3. Buying, selling and transferring shares

How do I buy or sell Morgan Crucible shares?
Investors usually use a stockbroker, bank or building society when buying shares. The commissions charged vary between the different organisations. Your bank or a stockbroker will be able to advise you, or you could contact an independent financial advisor.

How do I transfer Morgan Crucible shares into another person's name?
To transfer all or some of your shares in Morgan Crucible to someone else you will need to complete a share transfer form. Share transfer forms are available from Capita Registrars or you can download a form here. The form should be completed and returned with your share certificate(s) to Capita Registrars. Capita Registrars will then process the transfer and issue a balance certificate to you if appropriate.

What should I do in the event of the death of a Morgan Crucible shareholder?
Please contact Capita, the Company Registrar. The procedure followed will depend on whether or not the shareholding is a joint shareholding and, if it is not a joint holding, the size of the estate

What do I do if I have been contacted by an overseas based 'broker'?
If you are offered unsolicited investment advice, discounted shares, a premium price for shares you own, or free company or research reports, you should take these steps before handing over your money:

-  Get the name of the person and organisation contacting you.
- Check the FSA Register at http://www.fsa.gov.uk/fsaregister to ensure they are authorised.  
- Use the details on the FSA Register to contact the firm.
- Call the FSA Consumer Helpline on 0845 606 1234 if there are no contact detais on the Register or you are told they are out of date.
- Search our list of unauthorised firms and individuals to avoid doing business with.

If you use an unauthorised firm to buy or sell shares or other investments, you will not have access to the Financial Ombudsman Service or the Financial Services Compensation Scheme (FSCS) if things go wrong.

4. Share administration

What is an Investor Code?
This is a unique 11-digit number. It can be found either on your share certificate or on your tax voucher (which is sent to you on the dividend payment date twice a year).

What do I do if my address or other personal details change?
If you change address you should contact the Registrar via www.capitashareportal.com  or write enclosing details of your old and new addresses and your Morgan Crucible investor code. Alternatively, you can download an address change form here.  If you are get married or change your name for another reason you should notify the Registrar in writing. A copy of your marriage certificate or change of name deed should be included with the letter as evidence of your name change.

What happens if I lose my share certificate?
If your share certificate is lost or stolen you must inform Capita, the Company Registrar, immediately. They will ensure that a marker is put on your shareholding to prevent fraudulent use of your share certificate and will issue a replacement certificate once you have completed a letter of indemnity. There may be a charge for this service. This will depend on the value of the shares represented by the lost certificate.

Is there a reason why I have two account numbers and/or receive more than one copy of the Annual Report or multiple dividend cheques?
This may have occurred because when buying more Morgan Crucible shares, the name and address you supplied to the Registrar was in some way different to the details that were previously listed on the register. As a result your later share purchase was recorded on another account. To amalgamate the accounts you should contact the Registrar. There is no charge for this service.

What should I do in the event of the death of a Morgan Crucible shareholder?
Please contact Capita, the Company Registrar. The procedure followed will depend on whether or not the shareholding is a joint shareholding and, if it is not a joint holding, the size of the estate

What is the Capita Share Portal?
The Capita share portal (www.capitashareportal.com ) is an online service enabling you to quickly and easily access and maintain your shareholding online, reducing the need for paperwork and providing 24-hour access for your convenience. Through the share portal you may, for example, view your holding balance, view the dividend payments you have received and register and change bank mandate instructions so that dividends can be paid directly to your bank account.

5. Dividends

Can I have my dividends paid directly into my bank account?
You can do this by setting up a dividend mandate or payment instruction. To arrange this, either:

  1. Register online – see www.capitashareportal.com  for information; or
  2. Call the Capita Registrars Helpline; or
  3. Complete a Dividend Instruction Form and send it to Capita, the Company Registrar.  You can download a Dividend Instruction Form here.

If you have any questions regarding the completion of the Dividend Mandate Form, or wish to request that a Form be sent to you, please contact Capita.

What should I do if my dividends are paid directly into my account and I change my bank or building society account details?
You need to advise the Company’s registrars, Capita. You can make the change online. For more details visit www.capitashareportal.com.   Alternatively, you can download a Dividend Mandate Form here; complete it and send it to Capita Registrars.

6. AGM

When is the Annual General Meeting?
Details of the date and location of the next Annual General Meeting (AGM) will be included in the Notice of Meeting (detailing the resolutions proposed to be put to the AGM) posted on the AGM page and the Calendar page of this site. The Notice of Meeting is also posted to shareholders on the register shortly before the date of the meeting.  Following the AGM each year, details of the Proxy Voting Totals will also be available to view online.

Do I need to attend the AGM?
There is no requirement for shareholders to attend the AGM if they do not wish to do so.

What happens at the AGM?
Shareholders are invited to vote on the approval of the Annual Report and accounts, the final dividend, the re-election of Directors and other important issues concerning Morgan Crucible. The Directors issue a statement concerning the current affairs of the company. Shareholders are also given the opportunity to ask questions about Morgan Crucible's activities.

Can I vote at the AGM without attending?
If you wish to vote without attending then you may appoint someone to attend and vote on your behalf (your proxy).  Proxy forms are sent to shareholders with the Notice of Meeting.
